Fiscal 2026 revenue increased 7.9% to $5.6 million from $5.2 million in fiscal 2025. Revenue consisted of merchandise sales from the Company’s established gym and fitness equipment business. The increase reflected an 11.5% increase in average revenue per order to $275.62 from $247.26 in fiscal 2025, driven by a greater focus on commercial customers, partially offset by a 3.2% decrease in sales orders to 20,353 from 21,031. Sales through the Company’s own e-commerce website represented approximately 63.5% of revenue in fiscal 2026, compared to 66.0% in fiscal 2025.

Gross profit was $480,590 in fiscal 2026, compared with $2.0 million in 2025, and gross margin was 8.6% in fiscal 2026, compared with 39.3% in fiscal 2025. Cost of goods sold increased 62.4% to $5.1 million in fiscal 2026 from $3.2 million in fiscal 2025 and included a $1.7 million consignment-goods write-off allowance that contributed to the decline in gross profit. Excluding this allowance, which the Company considers non-recurring, gross profit would have been $2.1 million and gross margin would have been 38.1%.

Operating expenses increased to $7.6 million in fiscal 2026 from $3.7 million in fiscal 2025, primarily reflecting higher consulting and general and administrative expenses. Operating loss was $7.1 million in fiscal 2026, compared with $1.6 million in fiscal 2025. Fiscal 2026 results included $1.3 million of non-cash share-based compensation.

Net other expense was $12.1 million in fiscal 2026, compared with net other income of $1.3 million in fiscal 2025. Fiscal 2026 results included $5.8 million of combined realized and unrealized digital-asset losses, a $10.7 million loss on issuance of derivatives and common stock and a $2.9 million loss on debt extinguishment. These items were partially offset by $6.6 million and $2.5 million of fair-value gains on convertible notes and derivative liabilities, respectively. Net loss in fiscal 2026 was $19.2 million, compared with $682,724 in fiscal 2025.
